DacLane Delivery Terms & Conditions

These Delivery Terms & Conditions (“Terms”) govern your access to and use of the DacLane mobile application, website, and related services (collectively, the “Platform”) for on‑demand delivery services (“Delivery Services”). By accessing or using the Platform, you agree to be legally bound by these Terms.

1. Platform Status & Role of DacLane

DacLane is a technology services company that operates a digital marketplace connecting customers with independent third‑party delivery partners and independent merchants (restaurants, stores, or vendors).

DacLane: – Does not prepare, package, sell, or inspect food or goods – Does not provide delivery services – Does not employ, manage, or control delivery partners or merchants

All deliveries are performed solely by independent delivery partners. All products are prepared and provided solely by independent merchants.

2. No Agency, Employment, or Partnership

Nothing in these Terms creates an employer–employee relationship, partnership, joint venture, franchise, agency, or fiduciary relationship between DacLane and any delivery partner, merchant, or user. Delivery partners and merchants have no authority to bind DacLane.

3. Eligibility

To use Delivery Services, you must: – Be at least 18 years old – Have legal capacity to enter into a binding agreement – Provide accurate, current, and complete information

4. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. DacLane is not liable for unauthorized access or misuse of your account.

5. Orders & Availability

  • Orders placed through the Platform are requests only, not guarantees
  • Merchants may accept, modify, substitute, or reject orders at their discretion
  • DacLane does not guarantee item availability, preparation time, delivery time, or order accuracy

6. Pricing, Fees & Payments

Prices are set by merchants and may differ from in‑store pricing. Additional fees may include delivery fees, service fees, small‑order fees, surge pricing, tips, taxes, regulatory fees, and other applicable charges.

Payments are processed by third‑party payment processors. By placing an order, you authorize DacLane to charge your selected payment method.

7. Tips

Tips are voluntary and are paid directly to delivery partners. DacLane does not guarantee delivery partner earnings and does not control tip amounts.

8. Cancellations, Refunds & Adjustments

  • Orders may not be cancelable after merchant acceptance
  • Refunds or credits, if any, are discretionary and not guaranteed
  • DacLane does not guarantee refunds for late, missing, incorrect, or unsatisfactory orders

9. Merchant Responsibility (Food & Product Disclaimer)

Merchants are solely responsible for: – Food preparation, quality, safety, and allergens – Product descriptions, accuracy, and compliance with laws

DacLane does not guarantee food quality, freshness, temperature, portion size, or allergen safety.

10. Allergen & Dietary Disclaimer

DacLane does not verify allergen information. Customers are solely responsible for confirming dietary restrictions directly with merchants. Consumption is at your own risk.

11. Delivery Partner Responsibility

Delivery partners are solely responsible for: – Safe transportation of orders – Compliance with traffic, health, and safety laws – Delivery timing and handling once an order is accepted

DacLane does not supervise, monitor, or control delivery partners.

12. Assumption of Risk

You knowingly assume all risks associated with ordering, delivery, consumption, or use of products obtained through the Platform, including foodborne illness, allergic reactions, delays, spillage, theft, or third‑party conduct.

13. No Duty to Monitor or Intervene

DacLane has no obligation to monitor orders, communications, delivery routes, handling, disputes, or conduct, and has no duty to intervene in any issue between users, merchants, or delivery partners.

14. Alcohol, Restricted & Regulated Items

Certain items (including alcohol or regulated goods) may require age verification or compliance with local laws. DacLane does not guarantee delivery of restricted items and is not responsible for legal compliance failures by users, merchants, or delivery partners.

15. Lost, Stolen, or Incorrect Orders

DacLane is not responsible for lost, stolen, tampered, or incorrectly delivered orders. Any assistance provided is discretionary and does not create liability.

16. Ratings, Reviews & User Content

Ratings and reviews represent personal opinions. DacLane does not verify accuracy and is not liable for user‑generated content.

17. Prohibited Uses

You may not: – Use the Platform for illegal or fraudulent activity – Abuse refund or promotion systems – Harass merchants, delivery partners, or staff

Violations may result in suspension or termination without notice.

18. Service Availability & Force Majeure

DacLane does not guarantee uninterrupted service and is not liable for delays or failures caused by outages, weather, traffic, disasters, strikes, civil unrest, government actions, or events beyond reasonable control.

19. Limitation of Liability

To the maximum extent permitted by law: – DacLane is not liable for food quality, illness, injury, or property damage – DacLane is not liable for indirect, incidental, or consequential damages – Total liability shall not exceed the amount paid for the order at issue

20. Indemnification

You agree to defend, indemnify, and hold harmless DacLane and its officers, directors, employees, investors, and affiliates from all claims arising out of your use of the Platform, your orders, consumption of products, or violations of these Terms.

21. Arbitration & Class Action Waiver

All disputes shall be resolved by confidential, binding arbitration on an individual basis only. You waive the right to jury trial and participation in class, collective, or representative actions. This clause survives termination.

22. Governing Law

These Terms are governed by the laws of the state where the order is placed, without regard to conflict‑of‑law principles.

23. No Third‑Party Beneficiaries

These Terms do not create rights for any third party, including delivery partners or merchants.

24. Modification of Terms

DacLane may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

25. Severability, Survival & Entire Agreement

If any provision is unenforceable, it will be reformed to the maximum enforceable extent. Liability limitations, indemnification, arbitration, and risk‑allocation provisions survive termination. These Terms constitute the entire agreement between you and DacLane.

 

DacLane Passenger Terms & Conditions

These Passenger Terms & Conditions (“Terms”) govern your access to and use of the DacLane mobile application, website, and related services (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Platform Status & Important Disclosure

DacLane is a technology services company operating a digital marketplace that connects passengers with independent third‑party drivers. DacLane: – Does not provide transportation services – Does not own, lease, or operate vehicles – Does not employ, manage, supervise, or control drivers

All transportation services are provided solely by independent drivers, who are not employees, agents, partners, or representatives of DacLane.

2. No Agency, Employment, or Joint Venture

Nothing in these Terms creates an employer–employee relationship, partnership, joint venture, franchise, agency, fiduciary, or special relationship. Drivers have no authority to bind DacLane in any manner.

3. Eligibility

To use the Platform, you must: – Be at least 18 years of age – Have the legal capacity to enter into a binding agreement – Provide accurate, current, and complete information

4. Account Registration & Security

You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. You may not permit others to use your account. DacLane is not liable for unauthorized access, misuse, or activity conducted through your account.

5. Ride Requests & Matching

Ride requests are requests only and do not constitute guaranteed transportation services. Drivers may accept or reject ride requests at their sole discretion. DacLane does not guarantee driver availability, response time, route, or ride completion.

6. Fares, Payments & Fees

Fare estimates are non‑binding and may change due to distance, time, traffic, tolls, waiting, rerouting, congestion pricing, cleaning fees, damage fees, or regulatory charges. Payments are processed through third‑party providers. You authorize DacLane to charge your selected payment method.

7. Cancellations & No‑Shows

Cancellation or no‑show fees may apply after driver acceptance. All such fees are final, subject to limited review at DacLane’s discretion.

8. Passenger Responsibilities

You agree to: – Act lawfully and respectfully – Wear seatbelts and comply with safety laws – Not interfere with vehicle operation – Not request illegal or unsafe conduct

You may be charged for cleaning, damage, or excessive mess.

9. Prohibited Conduct

You may not use the Platform for illegal activities, harassment, fraud, payment circumvention, or unauthorized commercial purposes. Violations may result in immediate suspension or termination without notice.

10. Safety Disclaimer

DacLane does not supervise drivers, inspect vehicles, or guarantee safety. Transportation involves inherent risks, and passengers ride entirely at their own risk to the fullest extent permitted by law.

11. Assumption of Risk

You knowingly and voluntarily assume all risks associated with transportation, including accidents, road conditions, driver behavior, weather, third‑party actions, and criminal acts, even if foreseeable.

12. Insurance Disclaimer

DacLane does not provide transportation insurance. Any insurance coverage is maintained solely by drivers and is subject to policy limits, exclusions, and conditions not guaranteed by DacLane.

13. Background Check & Screening Disclaimer

DacLane does not perform background, criminal, medical, or driving history checks unless expressly stated. Any verification is limited and provided “as is,” without representations regarding driver character, fitness, or suitability.

14. No Duty to Monitor, Warn, or Intervene

DacLane has no duty to monitor rides, communications, locations, conduct, complaints, or disputes; no duty to warn or advise; and no duty to intervene in any incident.

15. No Emergency or Medical Responsibility

DacLane is not an emergency response provider and is not responsible for medical care, emergency services, or law enforcement response. Users must contact emergency services directly.

16. Alcohol, Drugs, Weapons & Illegal Items

DacLane is not responsible for the transport, possession, loss, or discovery of alcohol, controlled substances, weapons, or illegal items. Responsibility rests solely with users and drivers.

17. Lost, Stolen, or Damaged Property

DacLane is not responsible for lost, stolen, forgotten, or damaged items. Any recovery assistance is voluntary and does not create liability.

18. Ratings, Reviews & User Content

Ratings, reviews, and feedback reflect personal opinions. DacLane does not verify accuracy and is not liable for defamatory, misleading, or offensive content.

19. Platform Misuse, Fraud & Abuse

DacLane may investigate suspected misuse, fraud, or abuse and may reverse credits, deny refunds, or pursue recovery without notice.

20. Technology, GPS & App Disclaimer

Mapping, GPS, ETAs, routes, notifications, safety features, and app functionality are estimates only and may contain errors. DacLane is not responsible for inaccuracies, outages, or delays.

21. Service Availability & Force Majeure

DacLane does not guarantee uninterrupted service and is not liable for failures caused by maintenance, outages, disasters, civil unrest, strikes, terrorism, government actions, or events beyond reasonable control.

22. Suspension, Deactivation & Refusal of Service

DacLane may suspend, restrict, or terminate access at its sole discretion for legal, safety, or compliance reasons. No refunds are guaranteed after termination.

23. Limitation of Liability

To the maximum extent permitted by law, DacLane is not liable for personal injury, death, property damage, indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

24. Waiver of Claims; Exclusive Remedy

You waive all claims against DacLane arising from transportation services, driver conduct, vehicle condition, delays, cancellations, or route changes. Your sole and exclusive remedy is binding arbitration or discontinuation of Platform use.

25. Indemnification

You agree to defend, indemnify, and hold harmless DacLane and its officers, directors, employees, investors, affiliates, and advisors from all claims arising from your use of the Platform, conduct, violations of law or these Terms, or disputes with drivers or third parties.

26. Arbitration, Class Action & Jury Trial Waiver

All disputes shall be resolved by confidential, binding arbitration on an individual basis only. Class, collective, representative actions and class arbitration are waived. Jury trials and public court proceedings are waived. Arbitration may occur in your state of residence or DacLane’s principal place of business, at DacLane’s election. An opt‑out right is available within 30 days of first use.

27. Statute of Limitations

Any claim must be filed within one (1) year of the incident or be permanently barred, where permitted by law.

28. No Third‑Party Beneficiaries; No Assignment

These Terms confer no rights on third parties. Claims may not be assigned without DacLane’s written consent.

29. Corporate Entity Protection

Claims may only be brought against the DacLane corporate entity. You waive any attempt to pierce the corporate veil or assert alter‑ego or vicarious liability theories against individuals.

30. Risk Allocation Acknowledgment

You acknowledge these Terms allocate risk and liability to the fullest extent permitted by law and that pricing reflects this allocation.

31. Governing Law; Backup Law

These Terms are governed by the laws of the state where the ride occurs. If invalid, the law of DacLane’s principal place of business applies.

32. Consumer Law Savings; Severability; Survival

Nothing limits non‑waivable consumer rights. Invalid provisions shall be reformed to the maximum enforceable extent. All liability, indemnity, arbitration, and risk‑allocation provisions survive termination, insolvency, or dissolution.

33. Entire Agreement; Electronic Acceptance

These Terms constitute the entire agreement and supersede prior agreements. Electronic acceptance and records have the same legal effect as signed writings.

New York Passenger Legal Addendum

(Applies to rides originating or occurring in New York) – DacLane is not a common carrier or TLC‑licensed taxi/base – Drivers are independent contractors – No joint, vicarious, or agency liability applies – Claims under NY GBL §§ 349–350 are waived to the fullest extent permitted – All disputes must be arbitrated individually in New York

All liability limitations apply to DacLane’s founders, officers, employees, contractors, support staff, and affiliates. No individual associated with DacLane may be personally liable.

DacLane may suspend or terminate passenger access at any time, with or without notice, for safety, legal, or business reasons, without liability.

To the fullest extent permitted by law, DacLane shall not be liable for any claims of emotional distress, mental anguish, anxiety, inconvenience, humiliation, or loss of enjoyment, whether arising from a ride, user interaction, platform outage, or any related incident.

Nothing in these Terms creates any fiduciary duty, special duty of care, or heightened obligation on the part of DacLane toward any passenger. DacLane owes no duty beyond providing access to the technology platform.

Passengers agree to take reasonable steps to mitigate any damages, losses, or injuries and acknowledge that failure to do so may reduce or eliminate any potential claims.

Any claim or cause of action arising out of or related to the Platform must be filed within one (1) year of the event giving rise to the claim, or such claim is permanently barred.

The remedies expressly provided in these Terms are the passenger’s sole and exclusive remedies. No other remedies, damages, or forms of relief are available

DacLane does not guarantee the accuracy of GPS data, ETAs, pricing estimates, route information, or trip details and shall not be liable for errors or inaccuracies.

Passengers expressly waive any right to seek punitive, exemplary, or multiplied damages against DacLane.

Passengers are solely responsible for their personal belongings. DacLane is not liable for lost, stolen, or damaged property before, during, or after a ride.

Before initiating any legal action, passengers must provide written notice to DacLane and allow at least thirty (30) days for DacLane to review and respond to the issue. Failure to provide such notice bars the claim.

Any ambiguity in these Terms shall be interpreted in favor of DacLane to the maximum extent permitted by law.

Except as expressly required by applicable law, DacLane disclaims all responsibility and liability for any claims, causes of action, damages, losses, or disputes arising from or related to passenger use of the Platform, whether foreseeable or unforeseeable.

With these added, DacLane is protected against:

  • Personal injury lawsuits
  • Emotional distress claims
  • Class actions
  • Punitive damages
  • Background-check liability
  • Lost property claims
  • Platform error claims
  • Regulatory surprises
  • Surprise lawsuits

 

By using the Platform, you confirm that you have read, understood, and agreed to these Terms, and that this agreement is legally binding under electronic signature laws.

Driver Terms & Conditions

Prepared for Drivers of the DacLane Platform

 

 

 

Relationship of the Parties

You acknowledge and agree that you are an independent contractor and not an employee, agent, joint venture, partner, or representative of DacLane for any purpose.

 

Independent Business Operation: You operate a separate and independent business, control your own schedule, and decide when, where, and whether to use the DacLane Driver App (“Driver App”).

 

Flexibility: This agreement emphasizes that you are free to set your own schedule and work hours. You may choose when, where, and how often to log in to the DacLane Driver App. There is no requirement to accept a minimum number of trips, and you may log out at any time.

 

Responsibility for Expenses: You are solely responsible for vehicle, fuel, maintenance, repairs, insurance, mobile device, data usage, permits, and licenses.

 

No Authority to Bind DacLane: You may not bind DacLane or act on its behalf.

 

No Employment Relationship: You are not entitled to employee benefits such as health insurance, paid leave, unemployment insurance, or workers’ compensation.

 

Tax Obligations: You are solely responsible for reporting and paying all federal, state, and local taxes, including self-employment taxes. DacLane does not withhold taxes on your behalf.

 

 

Account Creation & Platform Access

You must create and maintain an accurate, up-to-date DacLane driver account. Keep login credentials secure. DacLane grants you a limited, non-exclusive, revocable license to access the Driver App to receive trip requests. You may accept or reject trips at your discretion. DacLane may suspend or terminate access if you violate these Terms, community guidelines, or applicable laws.

 

 

Privacy & Data Collection

Information You Provide: DacLane collects your name, contact information, date of birth, profile photo, payment information, and may require government-issued ID, vehicle registration, insurance, and permits.

 

Driver Background Checks: By applying, you authorize criminal history checks, motor vehicle record (MVR) checks, permit verification, and ongoing periodic re-checks. DacLane reserves the right to deny or deactivate accounts based on results.

 

Information from Platform Usage: DacLane collects device information, geolocation data while online, trip acceptance/cancellation data, ratings, and safety event data.

 

Third-Party Information: DacLane may receive information from background check providers, payment processors, insurance carriers, fraud partners, and government agencies, and may combine this with existing data to maintain platform safety and compliance.

 

 

 

Driver Requirements & Eligibility

 

General Requirements: You must meet the minimum requirements to operate on the DacLane platform, including:

Meeting the minimum legal driving age in your state or jurisdiction.

Holding a valid, current driver’s license.

Having an eligible, roadworthy four-door vehicle that meets state inspection standards.

 

Registration & Insurance: You must maintain valid vehicle registration and personal automobile insurance that complies with state requirements at all times.

 

Inspections: Your vehicle must pass required safety inspections before activation and annually (or as required by law).

 

Dashcam Requirement: You must install and maintain an internal-facing dashcam that records all trips and provide footage upon request in the event of a dispute, accident, or investigation.

 

 

Vehicle & Road Requirements

Where required by state or local law, drivers must display DacLane trade dress (decals or signage) or other legally required stickers. Drivers may be subject to maximum driving-hour limits tracked in the DacLane Driver App. Drivers are responsible for complying with all state, local, and federal vehicle requirements, driving-hour limits, and road safety regulations.

 

Driver Vehicle Safety Requirement – No Recalled Vehicles

 

Drivers must ensure that their vehicle is safe, roadworthy, and compliant with all local, state, and federal safety regulations. Drivers are strictly prohibited from using vehicles with open manufacturer recalls that affect safety (e.g., airbags, brakes, steering, fuel system).

 

Drivers are responsible for checking recall notices regularly through the manufacturer, NHTSA (National Highway Traffic Safety Administration), or other authorized channels.

 

Any driver found operating a vehicle with an unresolved safety recall may have their DacLane account suspended until the issue is resolved and proof of repair is submitted.

 

DacLane is not responsible for any accidents, injuries, or damages caused by drivers operating vehicles with open recalls.

 

 

 

Payments & Refund Policy

Direct Payment: Passengers must pay the full trip amount either (a) in cash directly to the driver at the end of the trip, or (b) through the DacLane App using a credit/debit card, digital wallet, or other available payment method.

Payment Confirmation: When payment is made through the DacLane App, funds are credited 100% to the driver’s account with no commission or service fees deducted by DacLane. Payment confirmations are available to drivers in the Driver App after each completed trip.

 

Payments are processed securely via Stripe.

Prices may include service fees, delivery fees, taxes, and tips.

The Company is not responsible for payment failures caused by third-party providers.

Refunds are issued in accordance with our refund policy.

 

Unpaid or Disputed Fares: If a passenger fails to pay in cash or a digital payment is declined, the driver may report the incident to DacLane through the Driver App. DacLane may assist in notifying the passenger, but ultimate responsibility for collection remains with the driver.

 

Tolls & Charges:
Drivers are responsible for paying all bridge tolls, road tolls, congestion fees, and similar charges incurred during a trip. If the tolls are related to the passenger’s trip (for example, when the route chosen requires a toll road, bridge, or congestion zone), the passenger is expected to reimburse the driver for the exact toll amount either:

Automatically through the DacLane App if the trip was booked and paid digitally, or

In cash at the end of the trip if the trip was paid in cash.

If a passenger refuses to reimburse tolls, drivers may report the issue through the Driver App, and DacLane will provide documentation to assist with recovering the amount, though DacLane does not guarantee repayment

 

Taxes & Reporting:
Drivers are fully responsible for keeping accurate records of all trip payments received, including cash and digital payments. Drivers must:

Report all income earned through the DacLane platform to the IRS and any state or local tax authorities.

Pay all applicable taxes, including federal and state income taxes, self-employment taxes, and any local business taxes, fees, or surcharges that may apply.

Consult with a tax professional if needed to ensure compliance with federal, state, and local tax laws.

DacLane does not withhold, deduct, or remit income taxes, Social Security, Medicare, or any other taxes on a driver’s behalf. Where legally required, DacLane may provide tax reporting documents (e.g., IRS Form 1099-NEC) showing the total payments made to the driver during a calendar year.

 

Refund Policy:
DacLane does not process, issue, or guarantee refunds for any trip. All refunds, fare adjustments, overcharge claims, or payment disputes must be resolved directly between the driver and the passenger.

DacLane’s role is limited to providing a digital platform that connects drivers and passengers. DacLane is not a transportation company, carrier, or broker and is not responsible for resolving fare disputes, refund requests, or service-related disagreements, except where required by applicable law

 

No Liability:
DacLane is not responsible or liable for any of the following:

Non-Payment or Partial Payment: If a passenger fails to pay, underpays, or disputes a charge, DacLane bears no financial responsibility.

Payment Disputes or Chargebacks: Any disputes, chargebacks, or reversals initiated by passengers must be resolved directly between the driver and the passenger. DacLane may provide limited transaction records to assist but does not guarantee recovery of funds.

Cancellations or No-Shows: If a passenger cancels a trip or fails to appear, DacLane is not responsible for lost time, fuel costs, or other expenses incurred by the driver.

Fare Amounts: DacLane does not guarantee any minimum earnings, trip frequency, or that passengers will pay additional charges such as tolls or waiting fees unless agreed by the passenger.

Rider Conduct: DacLane is not liable for passenger behavior, property damage, theft, or incidents occurring during trips.

Platform Role:
DacLane’s role is limited to operating a digital platform that connects drivers and passengers and facilitates optional in-app payments. Drivers are independent contractors and assume full responsibility for collecting and reporting their earnings.

Driver Responsibility:
Drivers are solely responsible for:

Negotiating or collecting any unpaid amounts directly from passengers.

Maintaining accurate records of all trips and payments.

Reporting income and paying applicable taxes.

By using the DacLane platform, drivers agree to hold DacLane harmless from any claims, losses, damages, or legal actions arising out of passenger non-payment, disputes, or trip-related incidents.

 

 

6. Subscription & Fees

Subscription Requirement:
Drivers must maintain an active subscription plan to access and use the DacLane Driver App and receive trip requests. The subscription plan is a condition of platform participation and must be renewed on time.

Billing & Payment Terms:

Advance Payment: All subscription fees must be paid in full before the start of each billing cycle (Daily, weekly, Biweekly, monthly, or annually, as selected).

 

Accepted Payment Methods: Payments may be made through credit/debit card, ACH transfer, or other methods approved in the DacLane Driver App.

Automatic Renewal: Unless cancelled before the renewal date, subscriptions automatically renew at the then-current plan price, and the driver authorizes DacLane to charge the payment method on file.

Consequences of Non-Payment:

Account Suspension: If payment is not received by the due date, access to the DacLane Driver App may be temporarily suspended.

Account Deactivation: Continued non-payment beyond a specified grace period (stated in the Driver App or notice email) may result in permanent account deactivation.

Outstanding Balances: Any unpaid fees remain the driver’s responsibility and may be subject to collection efforts.

No Refunds:
All subscription fees are non-refundable, including in cases of:

Early cancellation by the driver

Suspension or deactivation due to violation of these Terms, community guidelines, or applicable law

Low driver activity or failure to log in during the subscription period

Government-Mandated Fees:
Where required by law, DacLane may collect and remit per-trip fees, surcharges, or taxes (e.g., state rideshare fees, city congestion charges) on behalf of drivers. These amounts may be deducted from driver payouts or charged separately.

Plan Changes:
Drivers may upgrade or downgrade subscription plans through the Driver App.

Upgrades: Charged on a pro-rata basis for the remainder of the current billing cycle.

Downgrades: Take effect at the start of the next billing cycle.

Non-Payment of New Plan: Failure to pay for an upgraded plan by the effective date may result in suspension until payment is made.

Right to Modify Subscription Plans:
DacLane reserves the right to change, update, or discontinue subscription plans, pricing, features, or payment terms at any time, in accordance with DacLane’s policies and applicable laws. Drivers will receive advance notice of any material changes through the DacLane Driver App, email, or other official communication channels. Legal Protection Clauses — DacLane Inc.

1. Indemnification and Release of Liability

Users, including both Drivers and Riders, agree to defend, indemnify, and hold harmless DacLane Inc., its affiliates, officers, directors, employees, contractors, licensors, agents, successors, and assigns (collectively, “DacLane Parties”) from and against any and all claims, demands, actions, suits, losses, liabilities, damages, costs, and expenses (including, without limitation, attorney’s fees, court costs, and settlement expenses) arising out of or relating to:

The User’s access to, use of, or misuse of the DacLane Platform or Services;

Any breach or alleged breach of these Terms, applicable laws, or regulations;

Any false statement, misrepresentation, or omission made by the User;

Any personal injury, death, property damage, or other loss arising from or connected to a ride, meeting, or transaction facilitated through the Platform;

Any dispute or incident between a Driver and Rider, including disputes involving payments, safety, vehicle conditions, or user conduct; and

Any third-party claim resulting from the User’s use of the Platform or participation in any service offered through it.

DacLane Inc. is not a transportation carrier, common carrier, or employer of any Driver. Drivers operate as independent contractors and assume full legal and financial responsibility for all transportation services they provide.

Users hereby release, discharge, and covenant not to sue DacLane Parties for any claims, losses, damages, or injuries arising out of their use of the Platform, participation in any ride, or interactions with other users.

This release applies to all claims, known or unknown, foreseen or unforeseen, arising out of or connected with the use of the DacLane Platform or related services.

2. Force Majeure

DacLane shall not be liable for any delay, failure, or interruption in performance of the Platform or Services resulting from events or circumstances beyond its reasonable control, including but not limited to:

Acts of God (such as floods, earthquakes, storms, fires, pandemics, or natural disasters);

Acts or orders of government or regulatory authorities;

War, terrorism, rebellion, or civil unrest;

Labor disputes, strikes, or industrial actions;

Power outages, system failures, cyberattacks, or equipment breakdowns;

Telecommunication, server, or internet service interruptions; or

Any other cause beyond DacLane’s reasonable control.

During such events, DacLane’s obligations shall be suspended without penalty until the event is resolved. DacLane will make reasonable efforts to restore normal operations promptly once conditions permit.

3. Disclaimer and No Guarantee

The DacLane Platform and all related services are provided on an “as is,” “as available,” and “with all faults” basis. DacLane makes no representations or warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, reliability, accuracy, or non-infringement.

DacLane does not guarantee that:

Any Driver or Rider will be available at a particular time or location;

Any ride or transaction will be completed safely, successfully, or without incident;

The quality, safety, legality, or suitability of any Driver, Rider, vehicle, or trip will meet user expectations;

The Platform will be error-free, uninterrupted, secure, or virus-free; or

Any data or communication through the Platform will be accurate or timely.

DacLane functions solely as a digital technology intermediary that connects independent Drivers and Riders.
All transportation services are provided entirely by Drivers, who are not employees, agents, or representatives of DacLane. DacLane does not control, monitor, or guarantee the actions or performance of any Driver or Rider.

To the fullest extent permitted by law, DacLane disclaims all liability for any damages, injuries, losses, or expenses arising out of or connected to the use of the Platform or any ride arranged through it.

4. Limitation of Liability

To the maximum extent permitted by applicable law, DacLane Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

loss of profits, revenue, goodwill, or data;

business interruption;

personal injury or property damage; or

any damages resulting from the use of or inability to use the Platform.

In no event shall DacLane’s total cumulative liability to any user exceed the greater of one hundred U.S. dollars ($100) or the total amount paid by the user to DacLane (if any) during the twelve (12) months preceding the event giving rise to the claim.

5. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any service provided by DacLane shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration shall take place in New York, NY, and the decision of the arbitrator shall be final and binding.
Users waive any right to participate in a class action or jury trial.

 

 

Plan Change Rules & Regulations

Eligibility for Plan Changes:
Drivers in good standing (no overdue balances or active account suspensions) may request to change their subscription plan. Requests can be made through the DacLane Driver App or by contacting DacLane Support.

Types of Plan Changes:

Upgrades: Drivers may move to a higher-tier plan at any time.

Downgrades: Drivers may switch to a lower-tier plan but must wait until the next billing cycle for the change to take effect.

 

Effective Date & Billing:

Upgrades: Take effect immediately upon payment. The driver will be charged a pro-rated amount for the remaining days in the current billing cycle, and the new plan rate will apply from the next full cycle onward.

Downgrades: Become effective at the start of the next billing cycle to ensure uninterrupted service during the current cycle.

Plan Cancellation & Renewal:

Voluntary Cancellation: Drivers may cancel their subscription at any time, but access remains available until the end of the paid billing cycle. No partial refunds are issued.

Non-Refundable Fees:
All subscription payments are final and non-refundable, including:

Early cancellations

Downgrades requested mid-cycle

Account deactivations due to policy violations

Periods of inactivity or failure to log in

Payment Failures:
If payment for the new or renewed plan is declined:

The driver will be notified and given a short grace period to update their payment method.

If payment is not resolved before the grace period ends, the account may be suspended until payment is successfully processed.

Administrative Right to Modify Plans:
DacLane reserves the right to add, modify, or discontinue subscription plans, pricing, and features at any time. Drivers will receive advance notice via the Driver App, email, or other official communication channels. Continued use of the DacLane platform after the effective date of such changes constitutes acceptance of the updated subscription terms.

 

Non-Payment: Failure to pay for the new plan by the due date may result in account suspension until payment is made.

 

Right to Modify: DacLane may update subscription plans, pricing, and rules at any time, with advance notice sent through the DacLane Driver App.

 

 

Insurance Requirements

Driver’s Responsibility (Primary Coverage):
Drivers are solely responsible for obtaining and maintaining personal automobile liability insurance that meets or exceeds the minimum limits required by the state, city, or jurisdiction where they operate. If local law requires a Transportation Network Company (TNC) endorsement, rideshare coverage, or commercial policy, drivers must ensure their policy includes this coverage.

Proof of Coverage:

Drivers must submit valid proof of insurance (insurance card and/or declarations page) before activation on the platform.

Proof must be updated immediately upon renewal or any material change to the policy.

DacLane may verify coverage directly with the insurance provider at any time.

Notification of Changes:
Drivers must notify DacLane within 24 hours if their insurance policy is cancelled, lapses, non-renewed, or materially changed (e.g., lower coverage limits, removed vehicles, or loss of rideshare/TNC endorsement). Failure to maintain coverage may result in account suspension or permanent deactivation.

Accidents, Losses & Claims:

Drivers must promptly report any accident, property damage, injury, or trip-related incident to their insurance provider and through the DacLane Driver App.

Drivers are solely responsible for filing and managing all claims, paying deductibles, and covering any denied claims or out-of-pocket expenses.

DacLane is not responsible for property damage, bodily injury, insurance gaps, or claim denials.

No Insurance Provided by DacLane:
DacLane does not provide any form of personal, commercial, health, or vehicle insurance coverage for drivers, passengers, vehicles, or third parties. Drivers operate entirely at their own risk and are responsible for securing adequate insurance coverage.

Where required by law, DacLane may maintain limited contingent liability coverage (e.g., third-party coverage during active trips). Such coverage, if legally required:

Applies only as mandated by law, and

Is secondary to the driver’s personal policy, and

May not cover collision, comprehensive, UM/UIM, or medical expenses.

Compliance with Law:
Drivers must comply with all federal, state, and local insurance laws, including maintaining the required minimum coverage and filing any endorsements needed for rideshare operations.

Audit & Verification Rights:
DacLane may request updated proof of insurance at any time and may suspend platform access until compliance is verified. Acceptance of proof does not guarantee adequacy of coverage and does not create any obligation for DacLane to provide additional protection.

Indemnification:
Drivers agree to indemnify, defend, and hold harmless DacLane from any claims, losses, or liabilities arising from their failure to maintain required insurance or from gaps in their coverage.

No Waiver.
DacLane’s review or acceptance of your proof of insurance does not waive these requirements, does not confirm the adequacy of your coverage, and does not create any insurance obligations for DacLane beyond those required by law.

 

Accidents, Damage & Third-Party Claims: If any accident, damage, injury, or third-party claim arises while you are operating your vehicle, you are solely responsible for reporting the incident to your insurance provider. DacLane is not responsible or liable for property damage, bodily injury, insurance claim denials, gaps in coverage, or any legal or financial consequences resulting from the accident.

 

Platform’s Role: DacLane is a digital platform provider, not a transportation carrier, and does not provide personal auto insurance except where required by law as contingent coverage.

 

 

Safe Driving Obligations:
Drivers must operate their vehicles safely and in full compliance with all traffic laws, rules, and regulations in the jurisdiction where they drive. This includes:

Maintaining a valid driver’s license at all times.

Obeying posted speed limits, traffic signals, and signage.

Keeping both hands on the wheel and avoiding distracted driving (e.g., texting, using handheld devices illegally, or engaging in unsafe activities while driving).

Ensuring the vehicle is mechanically sound, clean, and safe for passengers.

Zero-Tolerance Policy for Impairment:
DacLane enforces a strict zero-tolerance policy regarding impairment. Drivers must not:

Operate a vehicle while under the influence of alcohol, illegal drugs, or impairing prescription medications.

Carry, consume, or allow open containers of alcohol or illegal substances in the vehicle while logged into the Driver App.

Violation of this policy may result in immediate suspension or permanent deactivation, and DacLane may notify law enforcement as required by law.

Mandatory Dashcam Requirement:
To protect drivers, passengers, and DacLane, an internal-facing dashcam must be installed, active, and recording during every trip.

Disabling, tampering with, or failing to maintain the dashcam may result in suspension or deactivation.

Drivers may be required to submit dashcam footage for review in the event of a dispute, complaint, accident, or safety investigation.

Passenger Safety & Professional Conduct:
Drivers must:

Treat all passengers with respect, courtesy, and professionalism.

Avoid any form of harassment, discrimination, or inappropriate comments or behavior.

Follow the most direct or passenger-preferred safe route to the destination.

Refrain from making unauthorized stops, detours, or engaging in unsafe driving practices.

Prohibited Conduct:
Drivers must not:

Carry weapons or firearms while using the platform (unless explicitly allowed by law and disclosed in advance).

Use the DacLane platform for illegal activity, solicitation, or fraud.

Exceed the legal passenger capacity of their vehicle.

Refuse service to passengers with service animals except as legally permitted.

Engage in physical altercations, threats, or hostile behavior.

Incident & Safety Reporting:
Drivers must promptly report through the Driver App or DacLane Support:

Any accidents, collisions, or injuries occurring during trips.

Any safety concerns, altercations, harassment claims, or unlawful acts involving passengers or third parties.

Lost property or suspicious behavior observed during trips.

Compliance with Community Guidelines:
Drivers must follow DacLane’s Community Guidelines, which may be updated periodically. Continued use of the platform after updates constitutes acceptance of the revised guidelines.

 

Mandatory Dashcam Requirement:
All drivers are required to install, maintain, and use an internal-facing dashcam approved by DacLane.

Active Recording: The dashcam must be powered on and actively recording before accepting a trip and remain recording until the trip is fully completed.

Equipment Standards: Dashcams must meet DacLane’s minimum quality and storage requirements (resolution, audio capture, and storage retention) and must be positioned so that the driver and passenger areas are clearly visible.

Footage Retention: Drivers must retain dashcam footage for at least 72 hours after each trip (or longer if involved in an accident, dispute, or investigation) and provide a copy to DacLane upon request.

Tampering or Non-Compliance: Deliberate tampering, disabling, covering, muting, or failing to operate the dashcam during trips is a violation of DacLane policy and may result in immediate suspension, account investigation, or permanent deactivation.

Data Privacy: Drivers must comply with applicable state and local laws regarding dashcam recording and notify passengers if required by law (e.g., where audio recording consent is needed).

Trip Conduct & Safety:
Drivers must operate their vehicles in a safe, lawful, and professional manner at all times. This includes:

Obeying All Traffic Laws: Follow all speed limits, traffic signals, and road regulations without exception.

Avoiding Impairment: Never operate a vehicle under the influence of alcohol, drugs (including prescription medication that impairs driving), or any substance that affects alertness or reaction time.

Respectful Passenger Treatment: Always treat riders courteously, maintain a professional demeanor, and avoid offensive, harassing, or discriminatory language or behavior.

Trip Integrity: Follow the most direct or rider-preferred safe route to the destination. Unauthorized stops, detours, or personal errands during an active trip are prohibited unless necessary for safety (e.g., emergency stops).

Vehicle Readiness: Keep the vehicle clean, roadworthy, and safe for passenger transport.

Incident Reporting:

Drivers must immediately report any of the following through the DacLane Driver App or to DacLane Support:

Accidents or Collisions: Regardless of severity, including property damage or injury.

Passenger or Third-Party Incidents: Altercations, harassment claims, theft, or damage.

Safety Issues: Vehicle breakdowns during trips, dashcam failures, unsafe passenger behavior, or security concerns.

Law Enforcement Stops: Any traffic stops or citations issued while on the platform.

Failure to report required incidents promptly may result in suspension, account investigation, or permanent deactivation.

 

 

No Guarantee of Uninterrupted Service:
DacLane provides the Driver App and platform “as is” and does not guarantee that access will be uninterrupted, error-free, or free from delays. Drivers acknowledge that technical issues, maintenance windows, software updates, internet outages, or third-party service disruptions may temporarily affect availability.

No Liability for Downtime:
DacLane is not responsible for any lost income, missed trip opportunities, delays, or business interruptions caused by:

System outages, scheduled or unscheduled maintenance

Connectivity issues, including internet or mobile network failures

Software bugs, technical errors, or security incidents

Force majeure events (natural disasters, cyberattacks, government actions, etc.)

Best Effort Resolution:
DacLane will make commercially reasonable efforts to investigate and resolve outages, service disruptions, or technical problems as quickly as possible.

Driver Responsibility:
Drivers are responsible for:

Maintaining a reliable mobile device and data connection.

Keeping the Driver App updated to the latest version.

Reporting technical problems promptly via the app or support channels.

No Compensation Obligation:
Drivers agree that temporary unavailability of the platform does not entitle them to compensation, damages, or extension of subscription periods unless required by applicable law.

 

 

Risk & Liability

Assumption of Risk:
Drivers acknowledge and agree that they are operating an independent business and assume all risks associated with using the DacLane platform, including but not limited to:

Vehicle operation, maintenance, and depreciation

Fuel costs, tolls, and other operating expenses

Rider behavior, passenger cancellations, no-shows, and misconduct

Accidents, collisions, property damage, and bodily injuries

Legal compliance, licensing, and tax obligations

No Warranties by DacLane:
DacLane provides its platform “as is” and makes no warranties or representations regarding:

The safety, legality, or fitness of any trip, passenger, or delivery

Guaranteed trip volume, income, or earnings

Rider behavior, payment reliability, or trip satisfaction

Continuous, error-free, or uninterrupted platform availability

DacLane’s Limitation of Liability:
To the fullest extent permitted by law, DacLane is not liable for:

Personal injury, property damage, or death occurring during a trip

Lost income, loss of business opportunities, or incidental damages

Disputes, misconduct, or unlawful acts by passengers, drivers, or third parties

Technical failures, outages, or errors on the platform

Any indirect, incidental, punitive, or consequential damages

Indemnification & Hold Harmless:
Drivers agree to indemnify, defend, and hold harmless DacLane, its affiliates, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, or expenses (including attorney’s fees) arising out of or related to:

Driver’s acts or omissions

Failure to comply with laws, regulations, or DacLane policies

Accidents, injuries, property damage, or disputes occurring while using the platform

Tax obligations or reporting errors

Breach of this Agreement or misuse of the DacLane platform

Third-Party Claims:
Drivers are solely responsible for resolving any claims, legal disputes, or financial disagreements with passengers, insurers, regulators, or third parties. DacLane may provide limited assistance (e.g., transaction records, ride data) but is not obligated to mediate or resolve disputes.

Survival of Obligations:
These risk allocation and indemnification obligations survive termination of the driver’s account or this Agreement.

 

 

Termination, Enforcement & Compliance

Compliance with Laws & Regulations:
Drivers must strictly comply with all local, state, and federal laws applicable to their driving activity and business operations, including but not limited to:

Maintaining a valid driver’s license, registration, and vehicle inspection

Carrying legally required auto insurance and TNC/rideshare endorsements

Obeying traffic laws, zero-tolerance impairment rules, and safety regulations

Filing accurate tax returns and paying all applicable taxes and fees

Following all Transportation Network Company (TNC) rules in their jurisdiction

Failure to comply with applicable laws may result in account suspension or permanent deactivation without refund.

Adherence to Community Guidelines:
Drivers must follow DacLane’s Community Guidelines, which require:

Respectful and Professional Conduct: Courteous interaction with riders, other drivers, and DacLane staff.

Safety Compliance: Following trip safety requirements, maintaining dashcam usage, and reporting incidents promptly.

Non-Discrimination: No harassment, threats, discrimination, or refusal of service based on race, religion, gender, disability, or protected class status.

Prohibited Activities: No illegal activity, fraud, solicitation, or misuse of the DacLane platform for personal gain outside of permitted trips.

Violations of these guidelines may lead to warnings, temporary suspension, investigation, or permanent deactivation of the account.

Breach of Terms:
If DacLane determines that a driver has violated these Terms, Community Guidelines, or any other policy, DacLane may:

Suspend Access: Temporarily restrict platform access during investigation.

Deactivate Account: Permanently remove the driver from the platform.

Withhold Payouts: Hold earnings until resolution of disputes, investigations, or outstanding payments.

Notify Authorities: Report unlawful activity to regulators or law enforcement as required.

Right to Investigate & Enforce:
DacLane reserves the right to investigate any complaints, accidents, disputes, or violations and take appropriate enforcement action in accordance with law and platform policies.

Voluntary Termination by Driver:
Drivers may deactivate their account at any time by providing written notice via the Driver App or support channels. All outstanding obligations (including unpaid fees, taxes, or disputes) must be resolved prior to final deactivation.

Survival of Terms:
Key obligations, including risk assumption, indemnification, arbitration, confidentiality, and tax compliance, survive account termination and remain legally enforceable.

 

Breach of Terms: Violation of these Terms, Community Guidelines, or any DacLane policies may result in temporary suspension, account investigation, or permanent deactivation.

 

Safety Concerns or Legal Violations

DacLane may, at its sole discretion and without prior notice, immediately suspend, restrict, investigate, or permanently deactivate a driver’s account in order to protect the safety of passengers, drivers, or the public, and to maintain compliance with applicable laws and platform standards.

Grounds for Immediate Action:

1. Safety-Related Concerns

Reckless, aggressive, or dangerous driving (e.g., excessive speeding, running red lights, tailgating)

Driving while distracted (texting, illegal phone use) or fatigued

Failure to keep required dashcam active and recording during trips

Vehicle condition that creates a hazard (brakes, tires, or safety systems not functional)

2. Impairment & Substance Violations

Driving under the influence of alcohol, illegal drugs, or impairing medication

Possession or consumption of alcohol, drugs, or illegal substances in the vehicle while logged into the platform

Failing a drug or alcohol test when legally required or requested after an incident

3. Criminal or Illegal Conduct

Assault, harassment, abuse, or threats directed at passengers, other drivers, or DacLane staff

Transporting illegal goods or substances

Weapons violations, theft, vandalism, or fraud

Any criminal charges or convictions that impact eligibility to operate as a rideshare driver under local law

4. Fraudulent or Abusive Behavior

Creating false accounts or identities

Manipulating GPS, trip acceptance/cancellation rates, or payment data

Soliciting passengers for off-platform rides to avoid DacLane subscription or fees

Filing false accident, safety, or payment claims

5. Vehicle Safety & Regulatory Non-Compliance

Failure to maintain valid registration, inspection, or insurance

Operating a vehicle that fails safety inspections or exceeds legal passenger capacity

Violating state, city, or Transportation Network Company (TNC) regulations

Enforcement Actions:

Depending on the severity of the violation, DacLane may:

Temporarily suspend account access pending investigation

Hold earnings until the outcome of investigation or resolution of disputes

Permanently deactivate the account if the violation is confirmed

Report to regulators or law enforcement where required or appropriate

Appeals Process:

Drivers may request a review of deactivation decisions by contacting DacLane Support within 7 calendar days of notification. DacLane will review the appeal and may reinstate the account if evidence supports reinstatement, but reserves sole discretion in final decisions.

 

Driver Performance

Rider Feedback & Ratings:

Passengers may provide ratings and feedback after each trip. These ratings are used to measure driver performance, service quality, and compliance with DacLane standards.

Drivers must maintain a minimum average rating (as defined in the Driver App or DacLane policies).

Impact on Account Status:

Repeated poor ratings, unresolved complaints, or patterns of negative feedback may result in:

Coaching or warnings from DacLane

Temporary suspension until corrective action is taken

Permanent deactivation for consistently substandard performance

Prohibited Conduct:

Certain conduct may result in immediate deactivation, regardless of ratings, including but not limited to:

Refusal to transport a passenger with a service animal, in violation of the Americans with Disabilities Act (ADA) or applicable local law

Harassment, discrimination, or unsafe behavior

Fraudulent activity, such as manipulating ratings, incentivizing riders for better scores, or retaliating against low-rating riders

Right to Review (Appeals Process)

Drivers have the right to request an internal review of any performance-related suspension, rating-based deactivation, or policy violation decision by submitting an appeal through the DacLane Driver App or support channels.

Appeal Requirements:

Appeals must be submitted within 7 calendar days from the date of the suspension or deactivation notice.

Drivers must include any supporting documentation, dashcam footage, trip records, or other relevant evidence they wish DacLane to consider.

Review Process:

DacLane will review the driver’s appeal, evaluate any submitted evidence, and may request additional information if necessary.

During the review process, the driver’s account may remain suspended to protect rider safety and platform integrity.

DacLane will provide a written decision (via email or in-app notification) within a reasonable timeframe (generally 7–14 business days).

Final Decision:
All decisions after the review process are final and binding. Repeated appeals without new evidence may be denied.

Right to Enforce (Investigations & Compliance)

DacLane reserves the right, at its sole discretion, to:

Investigate Alleged Violations: Collect trip data, review dashcam footage, interview riders, and analyze driver behavior metrics.

Suspend or Restrict Access: Temporarily disable account access during investigations or pending resolution of safety or compliance concerns.

Take Enforcement Action: Issue warnings, mandate retraining, temporarily suspend, or permanently deactivate accounts based on findings.

Withhold or Delay Payments: Hold driver earnings if they are related to trips under investigation, suspected fraud, or pending resolution of disputes or chargebacks.

Notify Authorities: Report unlawful activities to law enforcement, regulatory agencies, or insurance partners where legally required or when public safety is at risk.

Legal Consistency:
All enforcement actions will be taken in a manner consistent with applicable state, federal, and local laws and DacLane’s published policies.

 

Governing Law & Dispute Resolution

Governing Law:
This Agreement, and any disputes arising under it, are governed by the laws of the state or jurisdiction in which the driver provides the majority of their trips, without regard to its conflict-of-law provisions.

Mandatory Individual Arbitration:
Except where prohibited by law, all disputes, claims, or controversies between you and DacLane arising out of or relating to this Agreement, the use of the DacLane platform, or the relationship between the parties must be resolved by binding individual arbitration under the Federal Arbitration Act (FAA) and administered by a recognized arbitration provider (e.g., AAA or JAMS).

Class Action & Jury Trial Waiver:
Drivers agree to waive the right to participate in any class, collective, or representative action against DacLane, whether in court or arbitration. Disputes must be brought and resolved on an individual basis only. Drivers also waive the right to a jury trial.

Arbitration Procedures:

Arbitration shall be conducted in the county or jurisdiction where the driver primarily provides services, unless the parties mutually agree to a different location.

Each party shall bear its own legal costs and expenses unless otherwise required by applicable arbitration rules or law.

The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Small Claims Exception:
Either party may pursue qualifying claims in small claims court in the jurisdiction where the driver resides, provided the matter remains in that forum and proceeds only on an individual basis.

Severability:

Additional DacLane Policies

Independent Contractor Status:

Agreement to Terms

By downloading, accessing, or using the DacLane App or website (“Platform”), you agree to be bound by these Terms & Conditions and our Privacy Policy.
If you do not agree, do not use the Platform.

Nature of the Service

DacLane is a technology platform, not a transportation provider.

The Platform enables communication between independent drivers (“Drivers”) and passengers (“Users” or “Riders”).

DacLane does not own vehicles, employ drivers, set fares, or control trip operations.

All transportation services are provided solely by independent third-party Drivers, who operate under their own commercial or personal insurance.

DacLane’s role is limited to facilitating digital communication and software support between Riders and Drivers.

No Employer–Employee Relationship

Drivers using the DacLane platform are independent contractors, not employees, agents, or representatives of DacLane.

DacLane does not control, direct, or manage the Drivers’ work, hours, routes, or customer interactions.

Nothing in these Terms creates an employment, partnership, or agency relationship between DacLane and any Driver or Rider.

Eligibility

You must:

Be at least 18 years old;

Hold a valid payment method; and

Comply with all applicable laws when using the service.

Account Responsibilities

You are responsible for:

Maintaining accurate account information;

Securing your login credentials; and

All activity occurring under your account.

DacLane may suspend, restrict, or terminate your account for misuse, policy violations, or fraudulent activity.

Payments

Payments for rides are made directly between Rider and Driver via integrated payment gateways or permitted offline arrangements.

DacLane does not collect or remit ride fares and is not a party to any payment agreement between Rider and Driver.

DacLane may process subscription, access, or service fees solely to maintain Platform operations.

DacLane makes no guarantee about the accuracy, timeliness, or success of any payment between users.

Cancellation & Refunds

Each Driver may maintain individual cancellation policies.

DacLane is not responsible for cancellations, delays, disputes, or refunds.

Any refund or complaint regarding a trip must be handled directly between Rider and Driver.

DacLane may assist as a neutral facilitator but has no legal obligation to mediate or reimburse.

Rider Conduct

You agree to:

Treat Drivers and other users respectfully;

Avoid unlawful, abusive, or unsafe behavior;

Not damage vehicles or engage in fraud, harassment, or disorderly conduct.

DacLane reserves the right to restrict or terminate access for any violation, misconduct, or abuse of the Platform.

Safety Disclaimer

DacLane does not guarantee safety, legality, or reliability of any transportation service or Driver.

You are responsible for verifying the Driver’s identity, vehicle license plate, and other details before entering a vehicle.

All rides are taken at your own risk.

DacLane is not responsible for accidents, damages, theft, personal injury, death, or other losses that may occur before, during, or after a ride.

In an emergency, contact 911 immediately.

Limitation of Liability

To the maximum extent permitted by law:

DacLane shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including personal injury, death, property damage, or loss of profits or data.

DacLane disclaims liability for any acts, omissions, negligence, or misconduct by Drivers, Riders, or third parties.

DacLane does not guarantee uninterrupted service or error-free operation.

If DacLane is ever found legally responsible, the maximum total liability shall not exceed the greater of:

$100, or

The total amount paid by you to DacLane in the last 12 months.

Indemnification

You agree to indemnify, defend, and hold harmless DacLane Corp, its affiliates, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, expenses, or legal fees arising from:

Your use or misuse of the Platform;

Your breach of these Terms; or

Your violation of any law or third-party rights.

Intellectual Property

All trademarks, logos, and software code are the exclusive property of DacLane Corp.

You may not copy, modify, reverse engineer, or distribute any part of the Platform without written authorization.

Unauthorized use or reproduction of any intellectual property is strictly prohibited.

Third-Party Services

The Platform may include services from third parties (e.g., maps, ads, payment processors).

DacLane is not responsible for the performance, reliability, or terms of any third-party products or services.

Your use of those services is subject to their respective terms and privacy policies.

Data Privacy & Location Tracking

DacLane may collect and store user data (including GPS and trip data) to provide and improve services.

By using the Platform, you consent to such data collection and agree to the Privacy Policy.

DacLane complies with U.S. privacy laws, CCPA, and GDPR-equivalent standards where applicable.

DacLane does not sell personal data to third parties.

Advertising, Promotions & Ticket Sales

DacLane may display local ads, events, or promotional offers.

Any purchase or ticket sale from such promotions is between you and the third-party advertiser, not DacLane.

DacLane assumes no responsibility for these external offers, their content, or fulfillment.

Dispute Resolution & Arbitration

Any dispute or claim shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA).

You agree to waive your right to a jury trial or class action.

Arbitration shall take place in Dutchess County, New York, in English.

Each party bears its own legal costs, unless otherwise required by law.

Governing Law

These Terms are governed by and construed under the laws of the State of New York, without regard to conflict-of-law principles.
If arbitration is deemed unenforceable, disputes shall be resolved exclusively in the state or federal courts of Dutchess County, NY.

Termination of Access

DacLane may suspend or terminate access, with or without notice, for:

Violating these Terms,

Fraudulent or illegal activity, or

Required legal or regulatory reasons.

Upon termination, all provisions relating to liability, indemnification, arbitration, and intellectual property remain in effect.

Disclaimers

The Platform is provided “as is” and “as available”, without warranties of any kind.

DacLane disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

DacLane does not guarantee specific ride availability, timing, or pricing.

Force Majeure

DacLane is not liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, labor strikes, cyberattacks, or internet outages.

Severability

If any clause of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full effect.

. Entire Agreement

These Terms, together with DacLane’s Privacy Policy, constitute the entire agreement between you and DacLane and supersede all prior communications or understandings.

Modifications

DacLane may modify or update these Terms at any time.
Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

Waiver

Failure by DacLane to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

Additional Clauses to Strengthen Legal Protection

Assumption of Risk

By using the Platform and accepting a ride, you acknowledge and voluntarily assume all risks associated with transportation services, including but not limited to personal injury, death, theft, or accidents.
DacLane shall have no liability for any such risks.

Why: Explicitly makes passengers accept full personal risk and reduces negligence claims.

No Guarantee of Service or Availability

DacLane does not guarantee that a ride will always be available, that a Driver will accept your request, or that your ride will be completed on time.
DacLane may suspend or modify operations at any time without notice.

Why: Protects you from service-failure or “missed-ride” lawsuits.

Insurance Disclaimer

DacLane does not provide personal or vehicle insurance coverage for Riders or Drivers.
Each Driver is solely responsible for maintaining valid automobile insurance as required by law.
Riders are encouraged to carry their own personal injury or travel insurance.

Why: Ensures you’re not liable for any insurance claims after an accident.

Reporting Incidents

Riders must immediately report any accidents, misconduct, or disputes through the in-app support form or by email.
DacLane may, at its discretion, assist with documentation but assumes no obligation to investigate or resolve claims.

Why: Limits your duty to “investigate” accidents — a common legal trap.

Background Checks & Screening

DacLane may, but is not obligated to, perform identity or background checks on Drivers.
DacLane does not guarantee that such checks are complete, accurate, or up to date.

Why: Protects you if a driver later commits a crime or is found to have a record.

Local Regulations & Compliance

Riders are responsible for ensuring that their use of the Platform complies with all applicable city, state, and federal laws.
DacLane does not warrant that use of the Platform is permitted in every jurisdiction.

 Intellectual Property & Content Rights

Users may not upload or transmit any content that infringes copyright, trademark, or privacy rights.
DacLane reserves the right to remove such content and cooperate with law enforcement.

Why: Helps in case someone uploads copyrighted or illegal material via chat or profile.

Electronic Communications Consent

By using the Platform, you consent to receive electronic communications (email, SMS, or push notifications) from DacLane related to your account, updates, or promotional offers.

Why: Legally protects you under the U.S. E-SIGN Act and CAN-SPAM laws.

User Feedback & Reviews

DacLane may allow Riders to post feedback or ratings.
You grant DacLane a perpetual, royalty-free license to use, display, or publish such feedback for quality or promotional purposes.

Why: Lets you reuse customer feedback legally in marketing.

Contactless or Digital Interactions

DacLane may offer contactless ride or digital verification options.
Users agree that these methods are secure substitutes for physical signatures or confirmations.

Why: Future-proofs you against disputes about ride confirmation or “I didn’t accept that ride.”

Language of Agreement

In the event of translation into another language, the English version shall prevail in all legal matters.

Why: Avoids confusion in multi-region operations (especially if you expand to India, Canada, or Ireland).

Optional “Public Image” Additions

If you want to build public trust while staying legally covered, you can also include:

“Community Safety Commitment” – Encouraging respectful behavior, camera use, seatbelt policies.

“Non-Discrimination Policy” – States you don’t tolerate discrimination by drivers or passengers.

“Zero-Tolerance Policy” – For alcohol, harassment, or illegal activity during rides.

These don’t add liability — they just improve DacLane’s image for marketing and compliance.

 

Platform Use at Own Risk

The DacLane Platform is provided on an “as-is” basis.
All users acknowledge that use of the Platform involves inherent risks and agree that they assume full responsibility for those risks.
DacLane is not responsible for any direct or indirect harm resulting from Platform use, including interactions with other users or third parties.

 No Guarantee of Driver Qualification

DacLane does not certify or guarantee the credentials, licenses, background, or driving ability of any Driver.
DacLane’s optional background or identity checks are limited and not foolproof.

 

 No Monitoring Obligation

DacLane is not obligated to monitor or review user activities or communications, but reserves the right to do so at its discretion for safety or compliance reasons.

 Digital Signature Consent

By tapping “Accept” or continuing to use the app, the user electronically signs and agrees to this contract under the U.S. E-SIGN Act (15 U.S.C. §7001).
No physical signature is required.

Release of Claims

You hereby release and discharge DacLane, its affiliates, and their respective officers and employees from any and all claims, demands, damages, or causes of action arising from your use of the Platform or any services arranged through it.

 User Representations

You represent that:

You are using the Platform for lawful, personal purposes only;

You will not use it to stalk, harass, or harm anyone;

You will not impersonate others or misuse another person’s account;

You will not attempt to hack, copy, or reverse engineer the Platform.

 Prohibited Uses

Users may not use the Platform to transport prohibited or illegal goods, solicit criminal activity, or engage in conduct that violates local, state, or federal law.

 No Warranty on App Functionality

DacLane does not warrant that the Platform will be error-free, secure, or continuously available.
Outages or bugs may occur and do not entitle users to compensation or refunds.

 

Fraud & Abuse Policy

DacLane reserves the right to investigate and take legal action against any fraudulent activity, misuse, false claims, or chargeback abuse.
Users found engaging in such activities may be permanently banned and reported to authorities.

 

 Notification of Changes

DacLane may update these Terms from time to time.
Users will be notified via app or email. Continued use after updates constitutes acceptance of the revised Terms.

 Limitation on Time to Bring Claims

Any claim or cause of action arising from use of the Platform must be filed within one (1) year of the event, or it will be permanently barred.

Subcontractors and Service Providers

DacLane may rely on third-party contractors (for hosting, mapping, analytics, etc.).
DacLane is not responsible for acts or omissions of these third parties.

Survival Clause

All sections relating to indemnity, limitation of liability, arbitration, governing law, and user conduct shall survive termination or deactivation of the user account.

 

 Notice of Non-Affiliation

DacLane is an independent technology company and is not affiliated, endorsed, or sponsored by Uber Technologies, Lyft, or any other transportation network company.

OPTIONAL BUSINESS & COMPLIANCE ENHANCERS

TNC Classification Disclaimer (U.S. State Compliance)

DacLane operates as a software platform, not a Transportation Network Company (TNC), unless explicitly registered as such under applicable state law.

Consumer Protection Compliance

DacLane complies with applicable U.S. consumer protection laws and reserves the right to modify offerings to maintain compliance.

DMCA Safe Harbor Notice (Copyright Protection)

For copyright claims, DacLane follows the Digital Millennium Copyright Act (DMCA) procedure

 

Payments & Fees

Payments are processed securely via Stripe.

Prices may include service fees, delivery fees, taxes, and tips.

The Company is not responsible for payment failures caused by third-party providers.

Refunds are issued in accordance with our refund policy.

 

Other than as expressly set forth in these Terms and Conditions, DacLane Corp, DacLane Inc., and all related, affiliated, parent, or subsidiary entities disclaim all responsibility and liability for any claims, issues, disputes, losses, damages, injuries, costs, or matters whatsoever, whether direct or indirect, known or unknown, arising from or related to the Platform, Services, or user interactions.

 

To the fullest extent permitted by law, all protections, limitations of liability, disclaimers, indemnities, and waivers set forth in these Terms apply not only to DacLane Corp and DacLane Inc., but also to their founders, owners, shareholders, directors, officers, employees, contractors, agents, advisors, licensors, affiliates, successors, and assigns (“Protected Parties”).

 

DacLane has no obligation to monitor, supervise, verify, control, or intervene in interactions between users, including drivers, riders, merchants, or third parties. Users acknowledge that DacLane has no duty to prevent, investigate, or resolve disputes, accidents, misconduct, or unlawful acts.

 

Users expressly waive any rights under laws that would otherwise limit the effect of releasing unknown or unsuspected claims, including claims that could materially affect their decision to agree to this release if known at the time.

 

The Platform is not an emergency response service. DacLane does not provide emergency assistance, medical services, roadside assistance, or law enforcement services. In any emergency, users must contact local emergency services immediately.

 

Users acknowledge that they do not rely on any representations, guarantees, or statements by DacLane regarding safety, earnings, trip availability, income, user behavior, or outcomes. Any decisions made using the Platform are at the user’s sole discretion and risk.

 

While DacLane employs reasonable security measures, users acknowledge that no system is completely secure. DacLane shall not be liable for unauthorized access, hacking, data breaches, loss of data, or cyber incidents unless required by applicable law.

 

DacLane is not responsible for changes in laws, regulations, government requirements, or enforcement actions that may affect user eligibility, platform availability, or services in any jurisdiction.

 

Arbitration is the exclusive means of resolving disputes. Users waive any right to seek relief in court, except where prohibited by law. No claims may be brought as a class, collective, representative, or private attorney general action.

 

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

 

DacLane operates solely as a neutral technology platform. DacLane does not provide transportation, delivery, logistics, insurance, employment, medical, legal, or financial services and assumes no responsibility for the acts or omissions of users or third parties.

 

·  The “12-Month” Rule: Explicitly limit your total liability to the amount the customer paid in the last 12 months. If a user pays you $1,200 a year, they cannot sue you for $1 million.

·  Waiver of Consequential Damages: Clearly state you are not liable for “indirect” losses like lost profits, loss of business reputation, or data recovery costs.

·  The “Sole Remedy” Clause: For performance issues (like downtime), state that the only thing the user is entitled to is “Service Credits” (e.g., 10% off next month), not a cash payout.

Individual Arbitration: Require that all disputes be settled through private arbitration rather than a public court. Class Action Waiver: Include a clause where the user agrees to bring claims only on an individual basis and not as a member of a group or “class.

·  Discretionary Suspension: Reserve the right to suspend any account immediately if you suspect a security threat or a violation of your “Acceptable Use Policy” (AUP).

·  Non-Payment Clause: State that you have the right to withhold access if an invoice is 7+ days overdue, which protects you from providing free service while a user is in breach.

·  Ownership Clause: State that the user owns their “Input Data,” but Daclane owns everything else (code, algorithms, look-and-feel, and any “Aggregated Insights” derived from data).

·  Reverse Engineering Ban: Explicitly forbid any attempt to decompile, disassemble, or discover the source code of the platform.

 

 

 

 

Intellectual Property (IP) Protection

Since Daclane likely involves proprietary algorithms or hardware designs, you must clearly define ownership.

Ownership Clause: State that all software, code, trademarks, and documentation are the exclusive property of Daclane.

License Scope: Grant users a “limited, non-exclusive, non-transferable” license to use the product. Prohibit them from reverse-engineering, de-compiling, or copying your tech.

 Acceptable Use Policy (AUP)

This protects you from being held responsible for how a customer uses your tools.

Prohibited Activities: Explicitly ban using the encryption or service for illegal acts, hacking, or bypassing national security protocols.

Termination Rights: Reserve the right to “suspend or terminate” any account immediately if the AUP is violated.

Data Responsibility & Security Disclaimers

In the world of cybersecurity, no system is 100% unhackable. Your terms must reflect this reality.

“As Is” Clause: State that the service is provided “as is” and “as available,” without warranties that it will be error-free or uninterrupted.

User Responsibility: For security products, include a clause stating the user is responsible for maintaining the confidentiality of their own master keys, passwords, or hardware access.

Compliance with Export Controls (ITAR/EAR)

If Daclane deals with high-level encryption (like TACLANE), it may be subject to strict government regulations.

Export Restrictions: Include a clause stating that the user must comply with all U.S. and international export laws. Prohibit the transfer of the technology to “embargoed” countries or “restricted parties.”

 

I acknowledge that this agreement is executed electronically and has the same legal effect as a written signature.
